Business & Real Estate Transactional Attorney

POSITION SUMMARY:

We are a progressive Estate Planning, Trust, Tax and Real Estate law firm with offices throughout California…and growing quickly. We are looking for a dynamic, talented, personable, and detail-oriented business attorney to help bring our firm to the next level in our business department. We are an innovative mid-market firm that is transforming the way clients and attorneys engage and receive services.

You will meet with prospective and existing clients for Zoom and in-person consultations on the business law practice area including entity formation, governance, dissolutions, commercial contracts, merger & acquisitions, drafting and reviewing commercial and other business related contracts, buy-sell agreement, partnership agreements, operating agreements, and shareholder agreements, private placement offerings, equity incentive agreements, and commercial real estate (purchase and sale agreements, leases, easements, and license agreements). You are the face of the firm for the Business Department and will work as part of an attorney team on business matters. Previous experience required and knowledge of estate planning is preferred.

Responsibilities:
Meet with prospective clients or current clients to gather information and design a business plan or assess recommendations.
• Draft and review operating agreements and bylaws, shareholders’ agreements, master service and service level agreements, private placement memorandums, indemnity agreements and other client contracts.
• Draft leases, purchase and sale agreements, letters of intent, deeds; etc. for commercial real estate transactions.
• Prepare, manage and review of mergers and acquisitions transactions including due diligence and closing documents.
• Review, manage and prepare commercial lease agreements.
• Effectively organize and maintain case and client files
Follow company guidelines for engagement including completion of Client Intake Form, use, follow, and respond to task management system including timely completing tasks, monitoring inbox, and responding to specific correspondence within matters.
• Conduct further client meetings as necessary, answer any questions or address any concerns that they may have;
• Respond to any client phone calls or e-mails;
• Keep detailed notes of all meetings and phone calls (either electronically or hand-written) and make sure that notes are maintained inside the client file;
• Meet every week for Attorney Meeting and Advanced Planning Meeting (if applicable) to discuss complicated client matters and get any technical questions answered;
• Meet every other week for Business Planning Department Meeting;
• Meet once a month for all staff meeting;
• All other projects as assigned.


Required Skills:
Minimum 2+ year job experience as an attorney with business transactional experience.
• Able to problem solve, resolve, and close open issues and assist staff with issues that arise.
• Ability to handle multiple tasks simultaneously with a high degree of professionalism and client orientation
• Excellent organizational skills, attention to detail and ability to prioritize and work independently
• Excellent verbal and written communication skills to effectively work with various types of clients
• Skilled at meeting strict deadlines under time pressure

Must be able to do these Responsibilities listed below:

Education/Training:

Licensed attorney by California State Bar; Additional on-going courses and continuing education programs in the area of Business Law.
